Terms of Service Agreement – FEX Transfers

PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY BEFORE USING ANY SOFTWARE AND SERVICES PROVIDED BY FEX TRANSFERS.

You agree to the following Terms of Service (“Terms”), which govern your use of all FEX Transfers software, applications, and services (collectively, the “Services”). As used herein, the terms “FEX Transfers,” “us,” “we,” or “our” refer to FEX Transfers, any subsidiary or affiliate of FEX Transfers that provides you any part of the Services, and any employee, agent, contractor, designee, or assignee (collectively, the “FEX Transfers Parties”).

Section 1: Agreement, Parties

Agreement to Terms: By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity (“Organization”), you represent that you have the authority to bind such entity to these Terms. These Terms supersede any prior agreements unless explicitly stated otherwise.

IMPORTANT ARBITRATION NOTICE: By agreeing to these Terms, you agree to resolve disputes through binding individual arbitration (except as provided in Section 17). See Section 17 for details and opt-out instructions.

Section 2: The Services

2.1 Description of Services

FEX Transfers provides international currency transfer and exchange services, as well as digital tools for managing payments, FX risk, and related financial workflows (“Foreign Exchange Services”). These are offered through digital platforms and supported by FEX Transfers personnel (“FEX Representatives”).

2.2 Service Limitations

FEX Transfers is not a licensed bank or financial advisor. You are solely responsible for compliance with laws applicable to your financial transactions. FEX Transfers does not guarantee exchange rates, transaction speed, or specific outcomes and is not liable for market fluctuations.

Section 3: Subscription Plans, Payments, and Charges

3.1 Payment Obligation

By requesting services, you agree to pay applicable fees under your selected plan. Payments are due upon execution or completion of a transaction or service request. You must maintain valid payment information on file.

3.2 Subscription Plans

By purchasing a subscription plan, you authorize FEX Transfers (via its payment processor) to charge you the agreed fee (e.g., $199 per billing cycle). Additional charges may apply for excess usage or premium services.

3.3 Cancellation and Refunds

All purchases are final. No refunds will be issued unless we terminate your account without cause. You may cancel your subscription in writing. Upon cancellation, services will continue through the end of the paid term but will not be renewed.

3.4 Failed Payments

If your payment fails, services will be paused until payment is resolved. You must resolve any outstanding balances within three business days.

Section 4: Feedback, Trials, and Beta Services

4.1 Feedback

By submitting feedback to us (e.g., via email or platform), you grant us an unrestricted license to use that feedback for any purpose.

4.2 Suspension for Nonpayment

We reserve the right to suspend services for late or failed payments. Services resume only upon receipt of all outstanding fees.

4.3 Trials and Beta Access

Any beta or trial service is offered “as is,” may be discontinued at any time, and is subject to these Terms. Confidentiality applies to all pre-release features.

Section 5: Content and Use Restrictions

5.1 Ownership and Responsibility

“Content” includes all materials provided through the platform. “FEX Transfers Content” includes content we provide. You retain rights to content you upload but grant us a license to use it to deliver the Services.

5.2 Storage

We are not responsible for storing user content. You should back up all data. While we may try to restore lost data, we are not liable for loss or corruption.

5.3 Prohibited Conduct

You may not:

• Infringe third-party IP or privacy rights

• Violate laws or incite unlawful behavior

• Use our branding without permission

• Tamper with systems, data, or software

• Distribute spam or malware

• Misrepresent identity or use the Service deceptively

We reserve the right to monitor, remove, or disable access to content and cooperate with law enforcement as needed.

5.4 Copyright Policy

We may remove or restrict user content that infringes copyrights. Users who repeatedly violate copyright laws may have their access terminated.

Section 6: General Terms

Acknowledgment

These Terms form a binding agreement between you and FEX Transfers. Your continued use of the Services signifies your acceptance of the Terms and associated Privacy Policy.

Age Restrictions

You must be at least 18 years old to use our Services.

Third-Party Links

We are not responsible for the content or policies of third-party websites linked from our Service. Please review their terms separately.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Additional jurisdictional laws may apply.

Section 17: Dispute Resolution

You agree to resolve disputes through binding individual arbitration rather than court. You may opt out within 30 days of first agreeing to these Terms by notifying us in writing.

Legal Compliance

You represent that:

1. You are not in a country under U.S. embargo or designated a terrorist-supporting country.

2. You are not listed on any U.S. government prohibited party list.

Translation and Changes

These Terms may be translated for convenience. The English version governs in case of conflict.

We reserve the right to change these Terms at any time. Material changes will be announced 30 days prior to becoming effective. Continued use after changes signifies agreement.
